Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern the services provided by ElPuas Digital Crafts, the commercial brand of ElPuas Artesanos Digitales S.A., including monthly support plans, web development projects, and related digital services.

By engaging with our services, you agree to these Terms in full.

2. Scope of Services

A. Monthly Plans

Our plans include:

  • WordPress core, theme, and plugin updates
  • Regular backups
  • Security monitoring
  • Performance optimization
  • Technical support
  • Development hours (4h or 8h depending on the plan)
  • Dedicated Slack channel for emergencies

Important: Sites built under monthly plans use premium templates. We adapt these templates to match your brand and business needs, but they are not fully bespoke. Design capabilities are subject to the constraints of the theme/template selected.

B. Project-Based Custom Development

Custom development is quoted separately and defined in a written proposal or scope document.

This includes:

  • Fully custom WordPress themes
  • WooCommerce integrations
  • Headless or hybrid frontend builds
  • API development and 3rd-party integrations

Each project is unique and includes specific deliverables, timelines, and pricing as defined in your signed proposal.

3. Support Hours

Standard support: Monday to Friday, 9am–5pm (EST) for clients in the USA, EU, and LATAM

Emergency support: via Slack or email (included in active plans)

Off-hour work may incur additional charges

4. Use of Development Hours

  • Hours do not roll over month to month
  • Complex features or large redesigns are not included
  • Overage hours will be quoted and approved separately
  • Tasks are scheduled in order of receipt unless marked urgent

5. Client Responsibilities

Clients must:

  • Provide all necessary content (images, text, brand assets) in a timely manner
  • Respond to communications within a reasonable timeframe (max 5 business days)
  • Maintain valid login credentials and access to relevant services
  • Follow best practices and technical guidance from ElPuas

Delays caused by lack of client input may affect delivery timelines.

6. Payments & Renewals

  • All plans are prepaid monthly and invoiced within the first fifteen (15) days of each month.
  • If payment is not received within 45 calendar days from the invoice date, we reserve the right to disable the website and suspend any associated services without further notice.
  • Service reactivation may incur additional fees.
  • Project-based invoices are due according to agreed milestones (typically 50/50)

7. Limitations & Exclusions

Unless otherwise stated, our services do not include:

  • Full redesigns or new site builds under support plans
  • Content creation (copywriting, translations, photography, etc.)
  • SEO audits, paid campaigns, or advertising management
  • Recovery from hacks due to client negligence
  • Support for unauthorized or pirated third-party plugins

8. Intellectual Property

  • Custom code and designs are transferred to the client upon full payment
  • Themes, templates, and third-party plugins remain under their respective licenses
  • Clients are responsible for acquiring licenses for any premium content not included in the scope

9. Emergency Policy

Critical issues (site down, security breaches) will be prioritized via the dedicated Slack or Email channel.

Non-critical issues will be handled during standard hours.

10. Confidentiality

Both parties agree to maintain confidentiality regarding proprietary information, credentials, internal processes, and client data. This obligation survives the termination of our agreement.

11. Limitation of Liability

ElPuas Digital Crafts is not liable for indirect, incidental, or consequential damages arising from service use, including loss of business, revenue, or data. Total liability is limited to the amount paid for the service in question.

12. Termination

We reserve the right to terminate services:

  • Immediately for non-payment or breach of agreement
  • With 15 days' notice if the client repeatedly delays or obstructs project delivery

Clients may cancel at any time with proper notice. No refunds are provided for unused service periods.

13. Force Majeure

Neither party shall be liable for failure to fulfill obligations caused by events beyond reasonable control (natural disasters, war, pandemics, service provider outages, etc.)

14. Governing Law

These Terms are governed by the laws of Costa Rica, and any disputes shall be resolved under the jurisdiction of the local courts, unless otherwise agreed.
